Results of Operations and Financial Condition.
|
On November 4, 2011, Ventas, Inc. (the “Company”) issued a press release announcing its results of operations for the quarter ended September 30, 2011. A copy of the press release is furnished herewith as Exhibit 99.1 and incorporated in this Item 2.02 by reference.
The press release states that the Company’s normalized funds from operations (“FFO”) for the quarter ended September 30, 2011 was $255.1 million, or $0.88 per diluted common share, as compared to $115.4 million, or $0.73 per diluted common share, for the quarter ended September 30, 2010. The Company’s net income attributable to common stockholders for the quarter ended September 30, 2011 was $102.9 million, or $0.35 per diluted common share, as compared to $57.9 million, or $0.37 per diluted common share (after discontinued operations of $0.5 million), for the comparable period in 2010. FFO, as defined by the National Association of Real Estate Investment Trusts (“NAREIT”), for the third quarter of 2011 was $264.2 million, or $0.91 per diluted common share, as compared to $108.9 million, or $0.69 per diluted common share, for the third quarter of 2010.
For the nine months ended September 30, 2011, the Company’s normalized FFO was $517.6 million, or $2.45 per diluted common share, as compared to $332.5 million, or $2.11 per diluted common share, for the nine months ended September 30, 2010. The Company’s net income attributable to common stockholders for the nine months ended September 30, 2011 was $171.5 million, or $0.81 per diluted common share, versus $168.6 million, or $1.07 per diluted common share (after discontinued operations of $7.1 million), for the comparable period in 2010. NAREIT FFO for the first nine months of 2011 was $465.8 million, or $2.21 per diluted common share, as compared to $313.2 million, or $1.99 per diluted common share, for the first nine months of 2010.
The press release also states that the Company currently expects its normalized FFO for the year ending December 31, 2011 to be between $3.34 and $3.36 per diluted common share. The Company expects its net income attributable to common stockholders for 2011 to be between $1.06 and $1.14 per diluted common share.
