Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
 
Mr. J. Randy MacDonald, the Global Head of Retail of MF Global Holdings Ltd. (the "Company"), ceased to be employed by the Company as of the close of business on November 17, 2011.   Mr. MacDonald will not receive any severance or termination payments from the Company.
