On April 1, 2008, Carpenter issued a press release announcing the completion of the sale of its ceramic operations to the Morgan Crucible Company plc.  A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.  This press release is furnished not “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.
