Item 7.01 – Regulation FD Disclosure.

On July 25, 2006, Rambus Inc. posted a public record version of the Federal Trade Commission (“FTC”) notice of intent to release in camera information (“FTC Notice, Public Record Version”), dated July 21, 2006, on its website. The FTC Notice, Public Record Version, stated that the FTC intends to include in the opinion to be placed on the public record of the Rambus-related proceeding certain information based, in whole or in part, on various exhibits and testimony that the Administrative Law Judge received on the in camera record of such proceeding. A copy of the FTC Notice, Public Record Version, is attached as Exhibit 99.1 to this current report on Form 8-K.
