Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On November 23, 2009, William E. Kennard submitted to The New York Times Company (the “Company”) his resignation from the Board of Directors of the Company effective November 20, 2009. Mr. Kennard was nominated by President Barack Obama to serve as the United States Representative to the European Union, with the rank of Ambassador, and the United States Senate confirmed the nomination on November 20, 2009.
