Item 8.01 Other Events.

On August 23, 2011, Broadway Financial Corporation (the “Company”), parent company of Broadway Federal Bank, f.s.b. (the “Bank”), announced it will be pursuing a broad recapitalization plan which includes the closing of two of the Bank’s retail branch locations. A copy of the Press Release is attached as Exhibit 99.1.
