On May 2, 2012, the shareholders of EnPro Industries, Inc. (the Company) voted to approve an amendment and restatement of the EnPro Industries, Inc. Amended and Restated 2002 Equity Compensation Plan (the Equity Plan) and also to approve the EnPro Industries, Inc. Senior Executive Annual Performance Plan (the Annual Plan) and the EnPro Industries, Inc. Long-term Incentive Plan (the LTIP). Descriptions of the Equity Plan, the Annual Plan, and the LTIP are included on pages 50 to 67 of the Companys definitive proxy statement for the annual meeting of shareholders held on May 2, 2012, filed with the Securities and Exchange Commission on March 20, 2012, which descriptions are incorporated herein by reference.
