Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

(b) On May 11, 2012, Carolyn Miles notified Blackbaud, Inc. that she was resigning as a member of Blackbaud’s Board of Directors effective immediately. Ms. Miles’ resignation was not related to any disagreement with Blackbaud on any matter relating to its operations, policies or practices, but rather was due to Ms. Miles’ increasing responsibilities as Chief Executive Officer of Save the Children Federation, Inc.
