Item 1.01. Entry into a Material Definitive Agreement.

On May 14, 2012, Kellogg Company (the “Company”) priced offerings of $350,000,000 of 1.125% Senior Notes due 2015, $400,000,000 of 1.750% Senior Notes due 2017 and $700,000,000 of 3.125% Senior Notes due 2022 (collectively, the “Notes”). In connection with such offerings, the Company entered into an Underwriting Agreement, dated May 14, 2012, with Barclays Capital Inc., J.P. Morgan Securities LLC and Wells Fargo Securities, LLC, as representatives of the several underwriters mentioned therein. The Notes were registered under the Securities Act of 1933, as amended, pursuant to the Company’s Registration Statement on Form S-3 (File No. 333-181377) filed on May 14, 2012.

On May 15, 2012, the Company filed with the Securities and Exchange Commission a Prospectus Supplement dated May 14, 2012 in connection with the public offering of the Notes.

The Notes were issued on May 17, 2012 under an indenture, dated as of May 21, 2009, between the Company and The Bank of New York Mellon Trust Company, N.A., as trustee, as supplemented by an Officers’ Certificate, dated May 17, 2012 (the “Officers’ Certificate”).

Item 2.03. Creation of a Direct Financial Obligation of a Registrant.

The information set forth under Item 1.01 is incorporated herein by reference.

Item 8.01. Other Events.

As previously disclosed, on March 16, 2012 (the “Effective Date”), the Company entered into a 364-Day Term Loan Agreement that provided for a 364-day senior unsecured bridge term loan facility (the “Facility”) in an aggregate principal amount of $1,000,000,000 (the “Available Commitments”).

According to its terms, the Available Commitments would be reduced by the net cash proceeds from any debt issuance of the Company or its subsidiaries. Accordingly, upon completion of the offering of the Notes on May 17, 2012, the Available Commitments were automatically and permanently reduced to $0.
