Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 15, 2013, Merribel S. Ayres, who has served as a member of the CMS Energy Corporation and Consumers Energy Company Boards of Directors (“Boards”) since 2004, informed CMS Energy Corporation and Consumers Energy Company that she has decided to resign from the Boards. Ms. Ayres will not stand for re-election at the 2013 annual meeting of shareholders; therefore, her resignation will be effective on that date, May 17, 2013.
