Item 5.07. Submission of Matters to a Vote of Security Holders.
On May 21, 2013, Willbros Group, Inc. (the Company), held its 2013 Annual Meeting of Stockholders (the Annual Meeting). A total of 49,630,465 shares of the Companys common stock were entitled to vote as of April 1, 2013, the record date for the Annual Meeting. There were 45,198,540 shares present, in person or by proxy, at the Annual Meeting (or 91.1% of the outstanding shares), at which the stockholders were asked to vote on three proposals. Set forth below are the matters acted upon by the stockholders at the Annual Meeting, and the final voting results of each such proposal.
Proposal One Election of Directors
The stockholders voted to elect three Class II Directors to serve for a term of three years expiring at the annual meeting of stockholders in 2016 and until their successors shall be duly elected and qualified. The results of the vote were as follows:
