Explanatory Note

This current report on Form 8-K/A (the “Amendment”) amends the record date referenced under Item 8.01 of the current report on Form 8-K dated February 5, 2016 (“Original Form 8-K”). Except for the change in record date, this Amendment does not amend or otherwise update any other information in the Original Form 8-K. Accordingly, this Amendment should be read in conjunction with the Original Form 8-K.

Item 8.01 Other Events.

On February 9, 2016, Visa Inc. changed the record date from February 12, 2016 to February 19, 2016 for holders of its class A, B and C common stock in connection with the quarterly cash dividend of $0.14 per share of class A common stock (determined in the case of class B and class C common stock on an as-converted basis) payable on March 1, 2016.
