Item 8.01 Other Events.
On April 13, 2016, Mercury Systems, Inc. (the Company) closed its previously announced underwritten public offering of 4,500,000 shares of the Companys common stock, par value $0.01 per share. The underwriters exercised in full their over-allotment option to purchase up to an additional 675,000 shares. As a result, at the closing the Company issued 5,175,000 common shares for total proceeds to the Company, before expenses but after underwriting fees, of $94.4 million.
