Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Verizon Communications Inc. announced that Marni M. Walden, Verizon’s Executive Vice President and President – Global Media, would step down from her current position effective at the close of business on December 31, 2017. Following that date, she will report to Lowell McAdam, the Chairman and Chief Executive Officer of Verizon, as a strategic advisor and will leave the company in February 2018.
