(1) | Reflects the grant of restricted stock units. Each restricted stock unit represents a contingent right to receive one share of the issuer's common stock. The restricted stock units shall vest as to 50,000 units on December 31, 2015, and as to the remaining 400,000 units, 25% shall vest on December 3, 2015, the balance of which shall vest in equal quarterly installments over the next 36 months. |
(2) | On December 3, 2014, the reporting person was granted an option to purchase 250,000 shares of common stock. The options vest on the first day after the completion of a Trading Period based on the issuer common stock's satisfaction of certain Performance Criteria. As used herein, the term "Trading Period" means a period of twenty (20) consecutive days in which the issuer's common stock has satisfied the requisite Performance Criteria.
