Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On December 8, 2004, our Board of Directors elected Kimberly J. McWaters as one of our directors, as more fully discussed in the press release incorporated herein and attached hereto as Exhibit 10.1. With this additional appointment, we now have twelve directors. Ms. McWaters is the Chief Executive Officer of Universal Technical Institute, a leading provider of technical education training for students seeking careers as professional automotive technicians. We have employed, and expect to continue to employ, graduates of UTI in the service facilities of our dealerships.
