Item 1.01 Entry into a Material Definitive Agreement.

On April 30, 2008, Cameron announced that it had been awarded a contract worth approximately $235 million to engineer, construct and provide installation support for subsea systems for the North Amethyst project, a tieback development that is part of the White Rose oil field offshore Newfoundland and Labrador, Canada.

The press release is included as Exhibit 99.1 to this Current Report and is incorporated herein by reference.
