Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On April 30, 2009, The Andersons, Inc., as Borrower, entered into the Second Amended and Restated Loan Agreement ("Agreement") with several financial institutions, including U.S. Bank National Association, acting as Agent. This Agreement provides the Company with $490 million of short-term borrowing capacity and $85 million of long-term borrowing capacity.

The foregoing description of the Agreement does not purport to be complete and is qualified in its entirety by reference to the Agreement which is filed as exhibit 10.39 of this Current Report.
