Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 19, 2010, CME Group Inc. announced changes to its leadership roles, including a change in the position of Chief Accounting Officer.

In connection with these changes, Jill A. Harley who has served as the Company’s Chief Accounting Officer since March 2008 will take on an expanded role as Managing Director, Corporate Finance Services and James V. Pieper will assume the Chief Accounting Officer role, reporting to Ms. Harley.

Mr. Pieper, age 43, will serve as Managing Director and Chief Accounting Officer. Previously, Mr. Pieper served as Director and Controller since 2006 and as Associate Director and Assistant Controller from 2004 to 2006. Before joining CME Group in 2004, Mr. Pieper worked for Divine, Inc. as Director of Worldwide Accounting and for KPMG LLP as a Senior Manager. Mr. Pieper holds a bachelor's degree in accountancy from Northern Illinois University and an MBA with a finance major from The Wharton School at the University of Pennsylvania.

Mr. Pieper will participate in the Company’s compensation program upon terms commensurate with other executives at the level of Managing Director.
