On March 5, 2010, Rafael A. Rodriguez confirmed to Veramark Technologies, Inc. (the "Registrant"), his resignation from the Board of Directors of Registrant effective March 1, 2010. Registrant has no reason to believe that Mr. Rodriguez’s resignation was the result of a disagreement with management regarding the operations, policies or practices of the Registrant. Mr. Rodriguez did not submit a letter of resignation.
