Item 5.02. | Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. |
On October 9, 2018, the Board of Directors (the "Board") of The Home Depot, Inc. (the "Company") elected Mr. Manuel Kadre as a director of the Company upon the recommendation of the Nominating and Corporate Governance Committee. The Board also appointed Mr. Kadre to serve on the Audit Committee and the Finance Committee of the Board. The Board has determined that Mr. Kadre is "independent" under the Corporate Governance Standards of the New York Stock Exchange and under the Company's Corporate Governance Guidelines. Mr. Kadre will participate in the standard non-employee director compensation arrangements described in the Company's 2018 proxy statement, filed with the Securities and Exchange Commission on April 2, 2018.
