On December 18, 2012, the Registrant’s issued a press release, attached hereto as Exhibit 99.1 and incorporated herein by reference, revising its full year and fourth quarter 2012 earnings estimates and extending the expiration date for its tender offer to purchase up to $250 million of its common stock to 5:00 p.m., New York time, on February 5, 2013.  For additional information regarding this announcement, refer to Exhibit 99.1 filed with this Current Report on Form 8-K.
