Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
     On October 30, 2007, the Board of Directors (the “Board”) of Allergan, Inc. (“Allergan”) approved and adopted the Sixth Amendment (the “Amendment”) to Allergan’s Bylaws. In compliance with the New York Stock Exchange’s requirement that all listed securities be eligible to participate in the Direct Registration System no later than January 1, 2008, the Amendment allows for the issuance, recordation and transfer of the Company’s securities by electronic or other means not involving the issuance of a certificate. The Amendment took effect upon adoption by the Board.
     The foregoing description of the Amendment is qualified in its entirety by reference to the full text of the Amendment, a copy of which is attached hereto as Exhibit 3.1 and incorporated herein by reference.
