Item 8.01 Other Events.

     On March 15, 2007, Genta Incorporated, a Delaware corporation (the “Company”), issued a press release announcing that the Company has closed on March 14, 2007 the previously announced offering of approximately 30 million shares of common stock for gross proceeds totaling approximately $11 million, before fees and expenses. The shares were sold pursuant to the Company’s registration statement on Form S-3 declared effective by the Securities and Exchange Commission on May 11, 2004 and the prospectus supplement dated March 13, 2007.

     A copy of the press release is filed as Exhibit 99.1 to this report and incorporated herein by reference.
