Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 2, 2010, Bunge Limited (“Bunge”) announced the following changes to its management team, which will become effective July 1, 2010:
Mr. Archibald Gwathmey will retire from the position of Co-Chief Executive Officer, Bunge Global Agribusiness (“BGA”) and Bunge Product Lines (“BPL”). He will continue his employment with Bunge through his retirement date at the end of 2010 and will provide transitional support until that date.
Mr. Andrew J. Burke will assume the newly created position of Bunge Limited Global Operational Excellence Officer and step down from his current position as Co-Chief Executive Officer, BGA and BPL. In his new role, Mr. Burke will be responsible for optimizing the company’s efficiency and return on assets.
Mr. Raul Padilla, currently Chief Executive Officer, Bunge Argentina, will assume the position of Chief Executive Officer, BGA and BPL.
Bunge issued a press release announcing these changes to its management team on June 2, 2010. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1.
