On June 30, 2009, Berkshire Insurance Group, Inc., a wholly owned subsidiary of Berkshire Hills Bancorp, Inc., and John S. Millet entered into a separation agreement and release (Separation Agreement) and a non-solicitation and non-competition agreement (Non-Solicitation Agreement) in connection with Mr. Millets resignation as President of Berkshire Insurance Group. The Separation Agreement provides for a payment to Mr. Millet of $200,000 in exchange for a release of claims against Berkshire Insurance Group. Under the Non-Solicitation Agreement, Mr. Millet must refrain from competing with, or soliciting clients or employees of, Berkshire Insurance Group through December 25, 2009.
