Stockholder Meeting Notice

LoopNet, Inc.’s Annual Meeting of Stockholders will be held on May 11, 2010 at 185 Berry Street, San Francisco, CA 94107 at 9:00 a.m., Pacific Daylight Time.

Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.

The Board of Directors recommends that you vote FOR the following proposals:

	1.		Election of Directors: William Byrnes, Thomas E. Unterman.*

	2.		To ratify the appointment of Ernst & Young LLP as LoopNet, Inc.’s independent registered public accounting firm for 2010.

* Each to serve for a three-year term that expires at the 2013 Annual Meeting or until their respective successors have been elected and qualified.
