(b) Effective September 15, 2011, the employment of Jack V. Heller, Senior Vice President and Chief Distribution Officer of HealthMarkets, Inc. (the “Company”), terminated. In connection with Mr. Heller’s departure, the Company and Mr. Heller are currently discussing the terms of a separation agreement.
