Item 8.01 Other Events.

On November 20, 2006, Verizon Wireless announced the availability of the Music Essentials Manager for V CAST Music customers using software created by Smith Micro Software, Inc. The Music Essentials Manager is a new PC application that offers V CAST Music subscribers easier access toward purchasing 99 cent songs, downloading and managing their music, and transferring music files from their PC to their mobile phone.
