ITEM 5.02		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

     Michael A. Fout, Vice President of Manufacturing, has resigned from Preformed Line Products Company (the “Company”) effective July 10, 2008. The Company anticipates a smooth transition with Dave Sunkle, Vice President of Research and Engineering, temporarily assuming responsibility for manufacturing operations.
