Item 1.01 Entry into a Material Definitive Agreement.
     This Current Report on Form 8-K is to describe director compensation actions taken by the Board of Directors of OrthoLogic Corp. (“OrthoLogic”) at a meeting of OrthoLogic’s Board of Directors (the “Board”) on October 29, 2005 (the “October 29 Board Meeting”).
     At the October 29 Board Meeting, the Board approved a change in the terms of certain outstanding stock options held by the current directors and a former director, Stuart Altman. Prior to the change, the outstanding options held by a director expired on the earlier to occur of two years (three years in certain circumstances) following the date on which the director ceased to serve as such, or the expiration date of the option. After the change, options held by a director who has served as a director for five years at the time he or she ceases to serve as a director will be exercisable until the expiration date of such options. The change will apply only to those outstanding options that have an exercise price greater than $3.27.
